SPRITE RELAY END-USER LICENCE AGREEMENT

Effective date: 9 August 2026

IMPORTANT: PLEASE READ THIS END-USER LICENCE AGREEMENT CAREFULLY BEFORE DOWNLOADING, INSTALLING, COPYING, ACCESSING, OR USING THE SOFTWARE.

This End-User Licence Agreement (the “Agreement”) is a legal agreement between the person or entity accepting it (“User”, “you”, or “your”) and Sprite Relay Software Limited Company, a company organised under the laws of the Republic of Türkiye (“Licensor”, “Sprite Relay”, “we”, “us”, or “our”).

By downloading, installing, copying, accessing, or using any part of the Software, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree, you must not download, install, access, or use the Software.

If you accept this Agreement for a company, studio, school, organisation, or other legal entity, you represent that you have authority to bind that entity. In that case, “you” includes that entity, but each individual who uses the Software must still be properly licensed under Section 3.

1. Definitions

1.1 “Bridge”

“Bridge” means the Sprite Relay Live Bridge extension for Aseprite, including its first-party Lua source code and accompanying files.

1.2 “CLI”

“CLI” means the Sprite Relay command-line or batch MCP server product.

1.3 “Complete”

“Complete” means the commercial bundle that includes the CLI, Live, and Bridge products. Complete is a bundle and not necessarily a separate software codebase.

1.4 “Documentation”

“Documentation” means user guides, installation instructions, help materials, technical references, examples, and other documentation supplied by Sprite Relay for the Software.

1.5 “Licensed User”

“Licensed User” means one natural person for whom a valid single-user licence has been purchased or otherwise lawfully granted.

1.6 “Live”

“Live” means the Sprite Relay live-editing MCP server product.

1.7 “Major Version”

“Major Version” means a release designated by a change to the leading version number, such as version 2.0 following version 1.x.

1.8 “Purchase Channel”

“Purchase Channel” means Sprite Relay’s website, an authorised marketplace, payment platform, reseller, or other authorised source through which the Software is acquired.

1.9 “Software”

“Software” means any Sprite Relay software product supplied under this Agreement, including, as applicable:

  1. CLI;
  2. Live;
  3. Bridge;
  4. Complete;
  5. free, trial, evaluation, or paid editions made available under the Sprite Relay name;
  6. included first-party packages, scripts, schemas, generators, safety components, configuration files, package files, extension files, Documentation, and Updates.

The Software does not include Aseprite, third-party MCP clients, artificial-intelligence services, Node.js, operating systems, or separately licensed open-source components except to the limited extent those components are bundled and identified in applicable notices.

1.10 “Third-Party Client”

“Third-Party Client” means any third-party MCP host, artificial-intelligence client, editor integration, automation client, or related application used to communicate with or control the Software, including applications such as Claude, Codex, and Cursor.

1.11 “Update”

“Update” means a bug fix, patch, compatibility release, maintenance release, or minor-version release made available for the same Major Version of the Software.

1.12 “User Content”

“User Content” means artwork, sprite files, project files, pixel data, prompts, instructions, exports, configuration files, and other content supplied, created, edited, processed, or generated by or for the User through use of the Software.

2. Ownership and Nature of the Licence

2.1 Licensed, Not Sold

The Software is licensed, not sold. This Agreement grants limited usage rights and does not transfer ownership of the Software or any intellectual-property rights in it.

2.2 Retained Rights

Sprite Relay and its licensors retain all right, title, and interest in and to the Software and Documentation, including all copyrights, trade marks, trade secrets, design rights, database rights, patent rights, and other intellectual-property rights, whether registered or unregistered.

2.3 Reserved Rights

All rights not expressly granted under this Agreement are reserved by Sprite Relay and its licensors.

3. Licence Grant

3.1 Single-User Perpetual Licence

Subject to payment of the applicable fee and continued compliance with this Agreement, Sprite Relay grants one Licensed User a perpetual, non-exclusive, non-transferable, and non-sublicensable licence to:

  1. download and install the lawfully acquired Software;
  2. use the Software on a reasonable number of computers or devices owned or controlled by the Licensed User;
  3. use the Software for personal, educational, professional, internal-business, and commercial purposes;
  4. use the Documentation in connection with permitted use of the Software; and
  5. make a reasonable number of backup copies solely for the Licensed User’s own use and recovery purposes.

The licence is perpetual unless terminated under this Agreement.

3.2 Commercial Outputs Permitted

The Licensed User may use the Software to create, modify, export, publish, license, and sell artwork, sprites, animations, game assets, project assets, and other outputs.

Sprite Relay does not claim ownership of User Content merely because it was processed or produced using the Software.

3.3 Devices

A single Licensed User may use the Software on multiple devices owned or controlled by that Licensed User, provided that no other person uses the Software under the same licence.

3.4 Organisations and Teams

A company, studio, school, organisation, or other entity must obtain a separate licence for each natural person who directly uses the Software unless Sprite Relay has issued a separate written team, organisation, concurrent-use, or site licence.

Installation by an organisation for a Licensed User does not convert a single-user licence into a shared or floating licence.

3.5 Editions and Bundles

The rights granted under this Agreement apply only to the products, editions, features, and components lawfully acquired by the User.

A free, trial, or limited edition may contain technical feature restrictions. Circumventing those restrictions is not permitted.

Purchasing Complete grants rights to use the included products under one single-user licence. It does not grant redistribution rights or a licence for multiple users.

4. Licence Restrictions

Except where expressly permitted by this Agreement or mandatory applicable law, you must not:

  1. sell, resell, rent, lease, lend, sublicense, assign, distribute, publish, host, transmit, or otherwise make the Software available to another person;
  2. share purchased package files, archives, extension files, installation files, download links, credentials, or access methods with an unlicensed person;
  3. publish or redistribute npm packages, tarballs, compiled builds, source files, Bridge files, modified Bridge files, or other copies of the Software;
  4. copy the Software except for installation and reasonable backup copies permitted under Section 3;
  5. remove, alter, conceal, or misrepresent copyright notices, trade marks, attribution notices, licence notices, or proprietary markings;
  6. circumvent or attempt to circumvent edition restrictions, licence checks, purchase verification, access controls, usage restrictions, or other technical limitations;
  7. use one single-user licence to provide shared, floating, concurrent, hosted, bureau, service-provider, or timesharing access to multiple users;
  8. use the Software in violation of applicable law or third-party rights;
  9. use the Software to create, introduce, transmit, or distribute malware or malicious code;
  10. falsely represent that you own, authored, sponsor, endorse, or officially distribute Sprite Relay; or
  11. use Sprite Relay’s names, logos, branding, or trade marks except as necessary to truthfully identify the Software.

Nothing in this Section prohibits lawful commercial use of User Content or outputs created with the Software.

5. Reverse Engineering and Interoperability

Except as expressly permitted in Section 6 or by mandatory applicable law, you must not reverse engineer, decompile, disassemble, decode, or otherwise attempt to derive non-disclosed source code, trade secrets, internal implementation details, or protected elements of the Software.

This restriction does not apply to the limited extent that:

  1. applicable law expressly permits such activity and does not permit the right to be excluded by contract; or
  2. the activity is strictly necessary to achieve lawful interoperability with independently created software, after any legally required conditions have been satisfied.

Any information obtained through a legally protected interoperability exception may be used only for the purpose permitted by law and may not be used to create or distribute a substantially similar or competing copy of the Software except where such restriction is itself prohibited by law.

6. Bridge Source Inspection and Local Modification

6.1 Inspection Permission

The Bridge is distributed in user-inspectable Lua source form. A Licensed User may inspect the Bridge source code for:

  1. security review;
  2. troubleshooting;
  3. debugging;
  4. compatibility analysis;
  5. interoperability; and
  6. educational understanding.

6.2 Local Modification

A Licensed User may modify the Bridge solely for that Licensed User’s own internal, non-distributed use.

6.3 No Redistribution

Permission to inspect or locally modify the Bridge does not permit you to:

  1. publish, upload, distribute, sell, sublicense, or otherwise provide the Bridge or its source code to another person;
  2. distribute modified versions or derivative works of the Bridge;
  3. incorporate the Bridge into a product, extension, package, repository, service, or download made available to another person;
  4. remove proprietary notices; or
  5. provide Bridge copies to unlicensed users.

6.4 Modified Bridge Support

Sprite Relay is not required to support, debug, maintain, or ensure compatibility with a locally modified Bridge.

7. Aseprite and Other Required Software

7.1 Aseprite Not Included

Some or all Software functionality requires a separately obtained and validly licensed installation of Aseprite.

Aseprite is not included with, sold by, licensed by, or redistributed as part of Sprite Relay.

7.2 Independent Product

Sprite Relay is an independent third-party product and is not affiliated with, sponsored by, approved by, or endorsed by Igara Studio or Aseprite.

“Aseprite” is a trade mark of its respective owner.

7.3 Other Requirements

Use of the Software may also require compatible versions of Node.js, an operating system, an MCP host, or a Third-Party Client. You are responsible for obtaining and maintaining those items under their respective terms.

8. Third-Party Clients and Services

8.1 Separate Terms

Third-Party Clients and services are supplied by third parties and are governed by their own terms, privacy policies, licences, subscriptions, usage limits, and acceptable-use rules.

8.2 No Control

Sprite Relay does not control and is not responsible for:

  1. prompts or instructions sent by a Third-Party Client;
  2. model outputs or generated instructions;
  3. the availability, security, accuracy, or performance of a Third-Party Client;
  4. data collected, stored, transmitted, or processed by a Third-Party Client;
  5. changes made by a third-party provider; or
  6. continued compatibility with a particular Third-Party Client.

8.3 User Responsibility

You are responsible for reviewing Third-Party Client settings, permissions, prompts, outputs, and privacy practices before allowing the Third-Party Client to interact with the Software or User Content.

9. User Content and Outputs

9.1 User Ownership

As between you and Sprite Relay, you retain your rights in User Content.

9.2 No Rights Granted to Sprite Relay by Local Processing

Local processing of User Content by the Software does not by itself grant Sprite Relay ownership of that content.

9.3 User Responsibilities

You are responsible for:

  1. ensuring that you have all necessary rights and permissions for User Content;
  2. reviewing proposed or completed changes before relying on them;
  3. maintaining appropriate independent backups;
  4. verifying exported files and outputs before publication, delivery, or commercial use;
  5. complying with applicable laws and third-party rights; and
  6. determining whether outputs are suitable for your intended purpose.

9.4 Third-Party Output Terms

Rights in content produced with assistance from a Third-Party Client may also be affected by that client’s terms. Sprite Relay does not determine or warrant the ownership, originality, legality, or protectability of third-party model outputs.

10. Local Processing, Diagnostics, and Privacy

10.1 Local Core Processing

The Software is designed to perform its core processing locally on the User’s device.

Sprite Relay does not itself transmit the User’s artwork, pixel data, project files, local file paths, or other User Content to Sprite Relay merely through ordinary use of the Software.

10.2 Local Diagnostic Data

The Software may provide optional local diagnostic or usage information when the User enables that functionality.

Unless expressly disclosed otherwise:

  1. such diagnostic information remains on the User’s device;
  2. it is not automatically transmitted to Sprite Relay; and
  3. the User may clear it using available cleanup functions or by deleting the relevant local files.

10.3 Voluntary Support Submissions

If you voluntarily provide logs, diagnostic files, screenshots, project files, or other information to Sprite Relay for support, Sprite Relay may process that information to investigate and respond to your request.

You should remove confidential or unnecessary information before sending support materials.

10.4 Privacy Notice

The Software does not require a Sprite Relay account and does not collect, upload, transmit, or store personal data on Sprite Relay systems through its ordinary operation. Core processing and optional diagnostics remain on the User's device as described above.

Sprite Relay is the controller only of personal data that it independently receives. This can occur when a User voluntarily contacts Sprite Relay, for example by providing an email address and information in a support, refund, security, or legal request. Sprite Relay does not receive, control, or store a storefront's personal data merely because that storefront independently processes a purchase.

Sprite Relay processes data it receives only as reasonably necessary to respond to the request or perform this Agreement, on the basis of taking steps at the User's request or performing a contract; to protect Users, enforce rights, and secure the Software, on the basis of legitimate interests; or to comply with a legal obligation. It is not sold, used for advertising, or used for automated decision-making or profiling. It is retained only while needed for those purposes, dispute handling, or applicable accounting, tax, and other legal retention requirements, then deleted or anonymised where reasonably possible.

Personal data may be handled by communication or other service providers acting for Sprite Relay, or disclosed when legally required. Where applicable law requires safeguards for an international transfer, Sprite Relay will use the required lawful transfer mechanism.

Subject to applicable data-protection law, a User may request access, correction, deletion, restriction, or a copy of their personal data, or object to its processing, by contacting support@spriterelay.com. Where processing is based on consent, consent may be withdrawn without affecting earlier lawful processing. The User may also complain to the competent data-protection authority. Requests may require proportionate identity verification.

10.5 Third-Party Privacy

This Privacy Notice and Agreement do not govern the independent data practices of Third-Party Clients, Aseprite, marketplaces, payment providers, storefronts, or other third parties. Their processing—including purchase, payment, tax, fraud-prevention, account, delivery, and storefront analytics data—is governed by their own privacy notices and terms. Users should direct requests concerning storefront-held data to the relevant storefront or provider.

11. Live Connection Security

The Live product and Bridge are designed to use local communication and authentication measures intended to reduce unauthorised local access.

These measures are risk-reduction mechanisms and not guarantees. Sprite Relay does not warrant that unauthorised access, malware, device compromise, operating-system compromise, token disclosure, network misconfiguration, or other security incidents cannot occur.

You are responsible for maintaining the security of your device, user account, local environment, credentials, tokens, and Third-Party Client configuration.

12. Updates, Compatibility, and Major Versions

12.1 Updates Within a Major Version

A paid licence for a Major Version includes the right to use Updates for that same Major Version if and when Sprite Relay makes them available.

For example, a licence for version 1.x may include available version 1.1, 1.5, or 1.9 Updates.

12.2 Major Upgrades

A later Major Version, such as version 2.0, may require a separate purchase unless Sprite Relay expressly states otherwise.

12.3 No Obligation to Release Updates

Sprite Relay is not obligated to release any Update, feature, compatibility patch, security patch, or Major Version, or to continue supporting any particular version indefinitely.

12.4 Changes to Functionality

An Update may add, modify, replace, deprecate, or remove functionality where Sprite Relay reasonably considers this necessary for security, compatibility, maintainability, legal compliance, or product development.

12.5 No Automatic Updates Unless Implemented

The Software will not be deemed to install Updates automatically unless the relevant product expressly provides and discloses an automatic-update feature.

12.6 Continued Use of Purchased Version

Subject to this Agreement and technical compatibility, you may continue using the last version you lawfully acquired even after a later Major Version becomes available or support for your version ends.

12.7 External Compatibility

Sprite Relay does not guarantee continued compatibility with future or modified versions of Aseprite, Node.js, operating systems, MCP specifications, Third-Party Clients, plugins, or other dependencies.

13. Support

13.1 Best-Effort Support

Sprite Relay may provide best-effort support through:

support@spriterelay.com

Support may include installation guidance, compatibility troubleshooting, documentation assistance, and review of reproducible bug reports.

13.2 No Service Level

Unless a separate written support agreement states otherwise, Sprite Relay does not guarantee:

  1. response times;
  2. resolution times;
  3. uninterrupted support availability;
  4. correction of every defect;
  5. custom development; or
  6. support for unsupported, altered, or obsolete environments.

13.3 Excluded Support

Sprite Relay may decline support for:

  1. modified Bridge versions;
  2. unauthorised modifications;
  3. unsupported operating systems or dependency versions;
  4. third-party products;
  5. unlawful use; or
  6. problems that cannot reasonably be reproduced.

14. Purchase, Delivery, Refunds, and Consumer Rights

14.1 Purchase Terms

Prices, taxes, payment terms, delivery method, refund rules, and purchase-specific conditions may also be governed by the Purchase Channel’s terms presented before purchase.

14.2 Digital Delivery

The Software may be delivered electronically and made available for immediate download, access, installation, or activation after purchase.

Where applicable law requires express consent or acknowledgement before immediate digital delivery affects a withdrawal right, that consent or acknowledgement must be collected through the Purchase Channel.

14.3 Refunds

Refund eligibility is governed by:

  1. mandatory applicable law;
  2. the refund policy disclosed by the applicable Purchase Channel; and
  3. any additional written refund promise expressly made by Sprite Relay at the time of purchase.

For purchases made directly from Sprite Relay, a consumer may request a refund within 14 days after purchase. For digital content supplied immediately, this right may end once download, access, or delivery begins, but only where the consumer has expressly consented to immediate supply and acknowledged the loss of the withdrawal right. Refund requests must be sent to support@spriterelay.com with proof of purchase. Purchases made through a third-party storefront must also follow that storefront's refund process. This policy does not limit refunds, remedies, or other rights required by applicable consumer law, including rights relating to defective or non-conforming digital content.

14.4 Mandatory Rights Preserved

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, withdrawal right, statutory remedy, or other right that cannot lawfully be excluded or restricted.

If a provision of this Agreement conflicts with a mandatory consumer right, the mandatory right prevails to the extent of the conflict.

15. Third-Party and Open-Source Components

15.1 Separate Licences

The Software may include or depend on third-party or open-source components.

Those components remain subject to their respective licence terms, notices, and attribution requirements.

15.2 No Restriction of Third-Party Rights

Nothing in this Agreement limits rights granted directly to you under a third-party or open-source licence.

15.3 Notices

Applicable third-party notices are provided in THIRD_PARTY_NOTICES.md or another notice file supplied with the Software.

16. Intellectual-Property Notices and Feedback

16.1 Trade Marks

No licence is granted to use Sprite Relay’s trade names, logos, product names, domain names, or trade marks except as necessary to truthfully identify the Software.

16.2 Feedback

If you voluntarily provide suggestions, ideas, bug reports, or other feedback concerning the Software, you grant Sprite Relay a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable right to use that feedback for any lawful purpose without payment or attribution.

This clause does not transfer ownership of your User Content.

17. Warranty Disclaimer

17.1 As-Is Basis

To the maximum extent permitted by applicable law, the Software and Documentation are provided “as is” and “as available”, with all faults and without warranties of any kind.

17.2 Disclaimed Warranties

To the maximum extent permitted by applicable law, Sprite Relay disclaims all express, implied, statutory, and other warranties, including warranties of:

  1. merchantability;
  2. satisfactory quality;
  3. fitness for a particular purpose;
  4. title;
  5. non-infringement;
  6. accuracy;
  7. security; and
  8. uninterrupted or error-free operation.

17.3 No Guarantee

Sprite Relay does not warrant that:

  1. the Software will be uninterrupted, error-free, secure, or free from harmful components;
  2. defects will be corrected;
  3. the Software will remain compatible with every version of any dependency or third-party product;
  4. generated or modified artwork will meet your expectations;
  5. a Third-Party Client will issue correct, safe, lawful, or appropriate instructions; or
  6. the Software will satisfy every professional, commercial, legal, or technical requirement.

17.4 Mandatory Warranties

This Section does not exclude warranties or statutory guarantees that cannot lawfully be excluded.

18. File-Safety and Operational Disclaimer

18.1 Risk-Reduction Design

The Software may include safeguards intended to reduce unintended file modification or loss, including temporary workspaces, staging, path validation, backups, atomic write procedures, journals, rollback mechanisms, structured operation validation, and restricted subprocess execution.

18.2 No Absolute Guarantee

These safeguards are design measures and not guarantees.

Data loss, corruption, incomplete writes, incompatible outputs, unexpected edits, permission failures, hardware failures, operating-system failures, application defects, dependency defects, third-party-client errors, and user-configuration errors may still occur.

18.3 Backups and Review

You are responsible for maintaining independent backups and reviewing proposed, staged, committed, and exported results before relying on them.

19. Limitation of Liability

19.1 Non-Excludable Liability

Nothing in this Agreement excludes or limits liability to the extent that such liability cannot lawfully be excluded or limited.

19.2 Excluded Losses

To the maximum extent permitted by applicable law, Sprite Relay and its officers, employees, contractors, affiliates, suppliers, and licensors will not be liable for any:

  1. indirect, incidental, special, exemplary, punitive, or consequential loss;
  2. loss of profit, revenue, business, sales, contracts, opportunity, anticipated savings, or goodwill;
  3. loss, corruption, alteration, or destruction of data, artwork, sprites, project files, or other content;
  4. cost of substitute software, services, or recovery;
  5. business interruption; or
  6. loss arising from Aseprite, Node.js, an operating system, a Third-Party Client, an artificial-intelligence model, a plugin, a marketplace, a payment provider, or another third-party product or service.

This exclusion applies regardless of the legal theory of liability and even if Sprite Relay was advised that such loss was possible, except where such exclusion is prohibited by law.

19.3 Aggregate Liability Cap

To the maximum extent permitted by applicable law, Sprite Relay’s total aggregate liability arising out of or relating to the affected Software, this Agreement, or its performance will not exceed the amount actually paid by you for the specific Software giving rise to the claim during the twelve months before the event giving rise to liability.

If you acquired the Software without payment, Sprite Relay’s total aggregate liability will not exceed the minimum amount required by mandatory applicable law.

19.4 Allocation of Risk

The limitations in this Section reflect the one-time price of the Software and the allocation of risk between the parties.

19.5 Consumer Rights

This Section applies only to the extent permitted by applicable law and does not override mandatory consumer protections.

20. Limited Indemnity

To the maximum extent permitted by applicable law, you will indemnify and hold Sprite Relay harmless from third-party claims, damages, and reasonable legal costs directly arising from your:

  1. intentional unauthorised redistribution of the Software;
  2. deliberate infringement of another person’s intellectual-property or privacy rights using the Software;
  3. malicious use of the Software;
  4. fraudulent use of the Software; or
  5. material and intentional breach of Section 4.

This Section does not require a consumer to indemnify Sprite Relay to the extent such an obligation is prohibited or unenforceable under applicable law.

21. Term and Termination

21.1 Effective Term

This Agreement begins when you first download, install, copy, access, or use the Software and continues until terminated.

21.2 Termination by User

You may terminate this Agreement at any time by ceasing use of the Software and deleting all copies under your control.

21.3 Termination for Breach

Sprite Relay may terminate this Agreement if you materially breach it and:

  1. the breach cannot reasonably be remedied; or
  2. the breach is capable of remedy but is not remedied within a reasonable period after written notice.

Deliberate unauthorised redistribution, licence circumvention, or malicious use may constitute an incurable breach permitting immediate termination.

21.4 Effect of Termination

Upon termination:

  1. the licence granted under this Agreement ends;
  2. you must stop using the Software; and
  3. you must delete copies of the Software under your possession or control, except copies that applicable law requires you to retain.

21.5 Survival

Sections concerning ownership, restrictions, User Content, third-party components, disclaimers, liability, indemnity, accrued rights, governing law, and provisions intended by their nature to survive will remain effective after termination.

22. Export Controls and Sanctions

You must comply with export-control, import-control, trade-sanctions, and economic-sanctions laws applicable to you and your use, transfer, or distribution of the Software.

You must not export, re-export, transfer, or make the Software available where doing so would violate applicable law.

23. Changes to this Agreement

23.1 Existing Acquisitions

The version of this Agreement accepted when you acquired the Software generally continues to govern that acquisition.

23.2 Future Terms

Sprite Relay may introduce updated terms for:

  1. future purchases;
  2. future Major Versions;
  3. new products or services; or
  4. separately accepted features.

23.3 Legally Required Changes

Sprite Relay may make changes required by law, regulation, court order, security necessity, or changes that do not materially reduce your existing licence rights.

Where legally required, Sprite Relay will provide notice or obtain acceptance before materially different terms take effect.

24. Notices

24.1 Notices to Sprite Relay

Legal notices concerning this Agreement must be sent to:

Security reports should be sent through the security contact identified in the applicable SECURITY.md file.

24.2 Notices to User

Sprite Relay may provide notices through the email address associated with a purchase, the Purchase Channel, the Software, the Documentation, or an official Sprite Relay website.

25. Assignment

You may not assign, transfer, sublicense, or delegate this Agreement or your rights under it without Sprite Relay’s prior written consent.

Sprite Relay may assign or transfer this Agreement as part of a merger, restructuring, corporate reorganisation, financing, sale of assets, transfer of the Software business, or succession involving the relevant rights and obligations.

26. General Provisions

26.1 Entire Agreement

This Agreement, together with purchase-specific terms expressly incorporated into it, constitutes the entire agreement between you and Sprite Relay concerning the Software and supersedes prior discussions, statements, and understandings concerning the same subject.

26.2 Order of Precedence

If written purchase-specific terms issued by Sprite Relay expressly conflict with this Agreement, those purchase-specific terms control only for that purchase and only to the extent of the conflict.

Mandatory applicable law always prevails where it cannot be contractually excluded.

26.3 Severability

If any provision is held invalid, illegal, or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible. The remaining provisions remain effective.

26.4 No Waiver

Failure or delay in exercising a right or remedy is not a waiver of that right or remedy.

26.5 Headings

Headings are for convenience and do not affect interpretation.

26.6 Electronic Contracting

The parties agree that this Agreement may be accepted and formed electronically.

26.7 No Third-Party Beneficiaries

Except for Sprite Relay’s licensors and other persons expressly protected by the warranty and liability provisions, this Agreement does not create enforceable rights for third parties.

26.8 Language

This Agreement is written in English. If a translation is provided, the English version controls to the extent permitted by applicable law, unless the translation is expressly identified as the controlling version.

27. Governing Law and Disputes

27.1 Governing Law

This Agreement and any non-contractual obligations arising from it are governed by the laws of the Republic of Türkiye, without regard to conflict-of-law principles.

27.2 Competent Authorities

Subject to mandatory consumer-protection, venue, and dispute-resolution rights, disputes will be submitted to the courts, enforcement offices, consumer arbitration committees, consumer courts, or other authorities legally competent under the laws of the Republic of Türkiye.

27.3 Mandatory Consumer Forum Rights

Nothing in this Agreement requires a consumer to waive a forum, venue, arbitration-committee process, or remedy that applicable consumer law makes mandatory or non-waivable.
